AB “LTG Cargo” is selling the ČME3 7119 locomotive  through an auction

Auction Terms and Conditions

The locomotive is sold in its current actual condition. The buyer shall, at their own expense and responsibility, arrange the loading, transportation, and all other logistics procedures related to the removal of the locomotive, and shall bear all associated costs.

The locomotive will be transferred to the buyer in a deregistered status in accordance with the legislation of the Republic of Lithuania.

By submitting a bid, the buyer confirms that they have familiarized themselves with the technical condition of the locomotive and shall have no claims, now or in the future, regarding its technical condition, completeness, or suitability for any particular purpose.

PARTICIPANT ELIGIBILITY REQUIREMENTS, WINNER VERIFICATION, AND THE RIGHT TO REFUSE TO ENTER INTO A TRANSACTION

1. By participating in the auction, the auction participant confirms that neither the participant nor any persons or entities that directly or indirectly control the participant (in accordance with the Policy) or exercise significant influence over its activities or decisions are included in any international, European Union, or national sanctions lists, and that their activities or affiliations do not pose a threat to the national security of the Republic of Lithuania. If this confirmation is found to be untrue or if the information provided is misleading, the participant’s bid security deposit shall not be refunded.

2. Upon completion of the auction, the participant who has submitted the highest bid (hereinafter referred to as the Highest Bidder) shall be subject to an assessment to ensure proper performance of the agreement and compliance with applicable legal requirements and the requirements of the LTG Group (including reputation, financial stability, sanctions compliance, and national security considerations).

3. The Auction Organizer (Asset Owner) shall have the right not to recognize the Highest Bidder as the auction winner and to refuse to enter into a Purchase and Sale Agreement with the Highest Bidder if at least one of the following circumstances is identified:

   3.1. Following an assessment of compliance with international, European Union, or national sanctions and national security requirements, it is determined that the participant (or the persons controlling the participant) is included in sanctions lists or that its activities, affiliations, or circumstances may pose a threat to national security.

   3.2. Following the review of the intended transaction by the Commission for the Coordination of the Protection of Objects Important to National Security (NSK), a conclusion is issued stating that the transaction with the auction participant poses a risk to national security interests or does not comply with national security interests.

4. If the Auction Organizer exercises its right not to recognize the Highest Bidder as the auction winner on the grounds specified in Clause 3 above (i.e., refuses to enter into an agreement with such participant), the Organizer may declare the participant with the second-highest bid as the winner, provided that such participant also complies with all requirements set out in this section (i.e., is subject to the verifications specified in Clauses 3.1 and 3.2).

5. When refusing to enter into an agreement on the grounds specified in Clause 3 of this section, the Asset Owner shall not be obliged to apply to competent authorities for substantiation of the information and shall not be required to provide the auction participant with any certificates or other evidence supporting the Asset Owner’s decision.

6. The Asset Owner reserves the right to cancel or terminate the auction at any time prior to the auction date for any reason.
